The following Terms and Conditions have been drawn up in English and may be uploaded by the customer to their main memory. Where desired, these may be requested in digital or written format at www.pre-motion.com or by e-mail at info@pre-motion.nl.

1. Foreword
Pre-Motion operates a business for commercial purposes at the domain homepage of www.pre-motion.com. Through this website, Pre-Motion offers customers mainly self-produced custom-built mobile product presentations, rotating turntables and 'sushi' conveyor belts for hire or purchase over the internet.

Hire or purchase offers are directed exclusively at business customers; by business customers, business people in the sense of § 14 Entrepreneurs of the German Civil Code: juristic persons under public law, or special asset funds under public law are meant. We do not deliver to consumers.  

These General Terms and Conditions apply to sales made through our online shop, and ordered at a distance via the online shopping cart. This entails small products with a unit price of up to € 1,500, such as small turntables and accessories, which can be ordered via the shopping cart and sent by parcel post. Our products can also be ordered outside the web shop. Larger items, such as sushi conveyor belt systems for example, or large revolving turntables, are delivered as flatpacks for self-assembly, or are assembled on-site. Assembly costs are not included in the price, unless otherwise stated in the product description or automatically added to the shopping basket at checkout. Assembly and transport costs are agreed on an individual basis. These items, with a unit price exceeding € 1,500, and/or requiring assembly or custom work, are handled under Metaalunie Conditions (the Dutch Organisation for small and medium-sized enterprises active in the metal industry).

Many products can also be leased from us. This is governed by the General Terms and Conditions of Hire. The web pages clearly identify which products may be leased or hired.

2. Conclusion of the Contract
Pre-Motion’s offers on their internet portal represent a non-binding request to their customers to place their orders. By clicking on the 'Place order now' button, the customer submits their order remotely and places a binding contractual offer. Once the order is submitted electronically, confirmation of receipt of the order will be sent by e-mail. The contractual arrangement is entered into either through an e-mail order confirmation from Pre-Motion, or at the latest by the electronic transfer or delivery of the goods ordered, and / or completion of the services requested. Pre-Motion reserves the right to substitute goods ordered with goods of an equal value in the event of non-availability of the ordered goods, where the customer has indicated agreement to this procedure on the order form.
 
3. Delivery Reservations 
Sale of goods is subject to availability. Should any goods not be available at the time of placement of the order, Pre-Motion reserves the right not to accept the order. The customer will be informed of this eventuality as soon as possible. Any payments already made will be refunded to the customer without delay.

All goods will be manufactured and made available as quickly as possible. Delivery schedule details serve only as guidelines. Damage claims due to non-fulfilment or late delivery are excluded.

The actual delivery time may differ from the delivery time indicated on the website. However, Pre-Motion takes every possible care to prevent this eventuality and will keep the customer informed where applicable. 

4. Retention of Title
Pre-Motion retains property ownership rights on all its delivered goods until complete payment of the purchase price has been received.
 
5. Product Selection 
The customer has the opportunity to select and order products from the above-named website.
 
A detailed product description for each product is provided for the customer on the relevant webpage. Slight deviations in product details between this and the order confirmation are deemed to be accepted insofar as this is reasonable for the purchaser. Any such deviations do not constitute reasonable grounds for claims or withdrawal from the contract.

The products displayed in the online shop or in the catalogue may differ from their actual appearance (colour, size etc.). Images displayed in the online shop and catalogue are therefore non-binding. In general, goods are not delivered already assembled. Assembly costs are not included in the purchase price unless previously agreed. Assembly is the responsibility of the purchaser, unless otherwise expressly agreed in writing. Assembly can be provided by Pre-Motion’s technical service. 
 
The customer may click on the products they wish to purchase on the website. These are collected in a virtual shopping cart and, once the purchases have been completed, the customer will receive a breakdown of the products ordered and the final price, inclusive of VAT and postage costs.
 
On the one hand, it is possible to click on products via the shopping cart and order them directly. On the other, there are also products displayed for which a quote can be requested online. These goods can be bought via the shopping cart or alternatively ordered and confirmed in person by a different means. Pre-Motion allows the customer to check that the content of the order is correct, especially that the prices and quantities are accurate, and to amend these where necessary before submitting the order.
 

6. Returns Policy 
Returns may only be carried out with the agreement of Pre-Motion. Customised items, and items individually tailored to the customer’s own specifications, will not be accepted under the Pre-Motion returns policy. In the event of an effective return, the benefits received by either party must be returned and, where applicable, any use derived must be refunded. You will be liable to compensate us for any deterioration in the goods or use (e.g. signs of wear and tear) leading to a deteriorated condition. You will only be liable for the deterioration and use of the good where such deterioration or use can be traced back to goods handling that exceeds the testing of the good’s properties and operation. The “testing of the goods’ properties and operation” refers to the testing and trialling of the specific items as is possible and usual in a shop. Please avoid causing any damage or contamination to the items. In so far as is possible, please return the goods to us in their original packaging, along with any accessories and packaging.

Should Pre-Motion give its permission for the return of goods which are not subject to a returns’ claim, the customer will be liable for the post and packaging costs of the return. Pre-Motion will reimburse all purchase costs minus any transport or associated costs of returning the items, either through payment or by issuing a credit note. In the case of damages or wear and tear, the amount to be reimbursed will be reduced accordingly. Refunds will occur within 14 days of receipt of goods by Pre-Motion. Any risk will transfer to Pre-Motion upon receipt of such goods by Pre-Motion.

The customer must inform Pre-Motion of any product defects in writing and within 8 days of receipt, and return any such goods at Pre-Motion’s expense. If the packaging has become visibly damaged during transport - meaning the product is also damaged - you must notify Pre-Motion of this within 3 working days of delivery. To do this, send an e-mail to info@pre-motion.nl, with a description of the damage and clear photographs of the packaging and the product.

7. Customer contact 
Pre-Motion has a hotline available to answer any customer product queries. This hotline is available to customers 5 days a week (Monday to Friday) during normal business hours (8:30 am to 5:00 pm). Telephone number: +31 318505780.

8. Prices and Delivery Costs 
The price lists current at the time of order, as displayed on the webpages shall apply.

The prices are quoted from the Pre-Motion place of business, excluding VAT and delivery costs. Delivery costs can be found in the Delivery Costs Lists. These will also be displayed in the shopping cart or, for special orders and upon request, individually calculated by Pre-Motion.

Products installed on site by us will be delivered by us or a forwarding company. The calculated variable transport and assembly costs will be detailed in the quote issued at the customer’s request. The same condition applies to rental products.

9. Conditions of Payment 
The prices for goods and special services are displayed in the transaction details for the current order; they are payable immediately without any deductions. Delivery or despatch costs are calculated on an individual basis, insofar as they are displayed separately in the order transaction details. Payment methods available to the client are outlined in the transaction details.

Pre-Motion will issue an invoice for the goods ordered, which will be handed to the customer upon delivery or sent by email, provided that these details have not already been sent in the confirmation email. The customer agrees to waive the sending of a paper invoice. The customer will first receive an e-mail order confirmation containing all the order details. After receipt of payment, the online shop automatically generates an e-mail invoice. This bill may be sent out in advance by Pre-Motion, prior to receipt of payment, at the customer’s request.

Pre-Motion offers the following payment options: American Express, PayPal, Mastercard, Visa, Maestro, or bank transfer via Multisafepay. In the event that Pre-Motion has agreed to deliver against invoice in a particular case, all goods will remain the property of Pre-Motion until full payment of the purchase price has been made. No pledges, chattel mortgages, treatment or alterations are permitted without the express permission of Pre-Motion prior to transfer of ownership.

Net prices for businesses are listed exclusive of VAT. Dutch taxes are calculated and displayed at checkout. Non-Dutch firms in the EU should enter a valid VAT no.to calculate prices exclusive of VAT. The invoice will then show a 0 % rate of VAT: 'Reverse charge according to articles 44 and 196 of the VAT Directive 2006/112/EG'.

10. Guarantees and Liability 
The customer must inform Pre-Motion of any product defects in writing and within 8 days of receipt, and return any such goods at Pre-Motion’s expense. This does not affect liability for intent, guarantees, fraudulent intent, health and personal injury or under product liability laws.

11. Force Majeure 
In the event that Pre-Motion is unable to complete any service on the basis of force majeure (in particular war and natural disasters), the company will be released from its service duties for the duration of the obstructive event.

Should Pre-Motion be prevented from completing or delivering the order for longer than a month, the customer will be entitled to withdraw from the contract.

12. Data Protection 
Pre-Motion will observe all data protection requirements, in particular the stipulations of the Telemedia Act. Further details can be found in the Privacy Statement.
 
13. Concluding provisions 
The contract language will be English.

Should any provision(s) of these Terms and Conditions be or become null and void, any such provision will be replaced by the applicable legal arrangement under Dutch law.
